Terms & Conditions The agreement between you and WMP Creative Agency

1. Acceptance of terms

These Terms & Conditions (“Terms”) govern access to WMP Creative Agency websites, products, and services. If you do not agree, please do not use our site or engage our services. Project-specific quotations, proposals, or contracts may add or modify terms for that engagement.

2. Services we offer

We may provide, among other things:

• Website design and development (static, dynamic, ecommerce)
• Branding, logo, poster, and brochure design
• SEO, Google Ads, social ads, funnels, and lead generation
• Ready-made scripts and software products
• Training / courses such as Vibe Coding
• Related consulting, setup, and support

Descriptions on the website are general. Final scope, timeline, and price are confirmed in writing (quotation, invoice, WhatsApp confirmation, or email).

3. Accounts and website use

• You must provide accurate information when registering or submitting forms.
• You are responsible for keeping login credentials confidential.
• You agree not to misuse the site, attempt unauthorised access, scrape content abusively, or disrupt services.
• We may suspend accounts or access that violate these Terms or applicable law.

4. Quotations, payments, and taxes

• Quotations are valid for the period stated (or 14 days if none is stated), unless withdrawn earlier.
• Work typically begins after the agreed advance / booking amount is received.
• Remaining balances are due as per the milestone schedule in your quotation or invoice.
• Prices may be exclusive of applicable taxes (such as GST) unless stated otherwise.
• Late payments may pause delivery until dues are cleared.

5. Client responsibilities

To deliver on time, you agree to provide:

• Content, logos, product details, access credentials, and approvals when requested
• Timely feedback on drafts, designs, and staging links
• Accurate brand and legal information for publishable materials

Delays in providing materials or approvals may extend timelines without liability for missed launch dates.

6. Revisions and change requests

Each package includes the revision rounds stated in your quotation. Additional revisions, scope changes, new pages, new features, or third-party integrations outside the agreed scope may be billed separately after written confirmation.

7. Intellectual property

• Client materials: You retain ownership of content, logos, and assets you supply. You grant us a licence to use them to deliver the project.
• Deliverables: Upon full payment, you receive the rights described in your quotation (typically ownership or a perpetual licence to use final approved deliverables for your business).
• WMP tools & IP: We retain rights to our frameworks, code libraries, templates, processes, and pre-existing materials, unless expressly transferred in writing.
• Scripts store: Ready-made scripts are licensed for your use as described at purchase. Resale, redistribution, or public republishing of source as your own product is prohibited unless a separate reseller licence is granted.
• We may showcase completed work in our portfolio and marketing unless you request otherwise in writing before project completion.

8. Third-party services

Domains, hosting, Google / Meta ads accounts, payment gateways, plugins, themes, APIs, and similar third-party services are governed by those providers’ terms. Fees charged by third parties are your responsibility unless our quotation clearly includes them.

9. Marketing campaigns

For ads and SEO engagements, results depend on market conditions, competition, budgets, creative, landing pages, and platform policies. We do not guarantee specific rankings, lead volumes, or ROAS unless a written guarantee is expressly stated.

10. Warranties and disclaimers

We deliver services with reasonable professional care. Except as required by law, the website and products are provided on an “as available” basis. We do not warrant uninterrupted or error-free operation of all third-party platforms connected to your project.

11. Limitation of liability

To the fullest extent permitted by law, WMP Creative Agency is not liable for indirect, incidental, special, or consequential damages (including lost profits, lost data, or business interruption). Our total liability for a project is limited to the fees you paid us for that project in the three months preceding the claim.

12. Confidentiality

Both parties agree to keep confidential business information shared during an engagement and not disclose it except to people who need it to perform the work or as required by law.

13. Termination

Either party may end an engagement if the other materially breaches these Terms or the project agreement and fails to remedy within a reasonable period after written notice. Fees for work completed and non-cancellable third-party costs remain payable. Refund eligibility is governed by our Refund Policy.

14. Governing law

These Terms are governed by the laws of India. Courts in Krishnagiri / competent courts in Tamil Nadu shall have exclusive jurisdiction, subject to applicable law.

15. Changes

We may update these Terms periodically. The latest version will be posted on this page with an updated date. Continued use of the website after changes constitutes acceptance of the revised Terms.
